Genesis Deal Done

In another big private equity deal, Formation Capital and JER Partners completed the acquisition of Genesis Healthcare Corp., previously a publicly traded company (NASDAQ:GHCI). Concluded July 13, the $2 billion deal includes $475 million of debt.

The deal was the result of a bidding war last spring between Filmore Capital Partners of San Francisco and Formation/JER, with the latter finally paying $69.35 per share for Genesis.

Based in Kennett Square, Pa., Genesis owns and operates more than 200 skilled nursing and assisted living buildings, located primarily in the Mid-Atlantic and Northeast. JER Partners is the private equity investment arm of J.E. Robert Cos., based in McLean, Va. Formation Capital is a private equity firm based in Alpharetta, Ga., that specializes in seniors housing and long-term care properties.
